1、北京交通大学硕士学位论文信息技术类上市公司治理结构与绩效关系研究姓名：王伟申请学位级别：硕士专业：统计学指导教师：刘延平201107中文摘要摘要：最近几年，我国加强了对上市公司治理结构的改革，实行了股权分置改革、完善独立董事任免制度等一系列措施，希望通过完善公司治理结构，来提升上市公司的绩效，增强公司的竞争力和可持续发展能力。本文以IT行业上市公司为研究样本，尝试通过对其公司治理结构与公司绩效之间的关系进行实证分析，然后找出完善IT行业上市公司治理结构的措施，并以此来改善上市公司的绩效。本文的内容

2、主要包括以下部分：第一部分：从股权治理、董事会治理和经理层治理三个方面，对公司治理结构与公司绩效的研究进行国内外的文献综述，并阐述本文的研究目的，研究内容和研究方法。第二部分：首先，对公司治理结构和公司绩效的内涵进行阐述，其次，从股权治理、董事会治理和经理层治理三方面，分析了公司治理结构与公司绩效之间的关系。第三部分：首先，通过主成分分析方法，构建了公司绩效的综合评价指数；其次，以部分IT行业上市公司为研究样本，基于面板协整检验方法，进一步运用了SPSS、Eviews等多种统计分析工具和面板数据的
