1、上海海事大学硕士学位论文航运企业并购中的价值评估研究姓名：孟路淼申请学位级别：硕士专业：会计学指导教师：巫珊玲20060601摘要并购作为资本运营的一种重要方式，在国际航运发展史上起着不可磨灭的作用。近年来，国际航运业并购案此起彼伏，规模也越来越大。同时，我国航运界也开始了对外并购的尝试。企业并购要想取得成功，最重要的是对目标企业价值的认定，而价值认定必须结合不同类型企业的特点和并购所要达到的目的来进行。本文认为，一个有应用价值的评估工具应该具有对企业已经达到的获利能力、必将达到的获利能力、以及未来可能达

2、到的获利能力进行认定的功能。本文通过对航运企业本身特点、航运企业并购战略以及价值评估理论的研究，结合实物期权思想构建了下列价值评估模型：K=K+K，+K：。本人认为本模型对航运企业并购过程中目标企业价值的上述几个方面都做了较为准确的认定。在研究方法方面，本文通过定性分析和实例分析相结合的原则力求使理论更能贴近实际而不陷于空洞。本文的研究框架主要依据下列问题展开：1，对航运市场的风险来源进行分析，以得出对目标航运企业价值的评估应该考虑什么因素?2，为什么传统评估方法不能准确评估航运企业的价值?3，如何利用实
