1、中文摘要随着科学技术的发展及市场经济的完善，随着企业规模的扩大及专业化分工的兴起，企业内的经济权利不断被重新分配，当企业所有者将部分决策权让渡给管理者时，委托代理关系便形成了。但随之产生的委托代理问题逐渐成为许多企业，尤其是中小企业发展的瓶颈。伯利和米恩斯曾于1932年指出，在所有权分散和集体智力成本很高的情况下，职业型的公司经理多半是无法控制的代理人。可见，委托代理问题在两权分离企业中已成为常态，为此，企业需要建立完善有效的法人治理结构，在委托人和代理人之间形成相互协调，相互制衡机制，以实现股东利益最大化，提高企业的抗风险能力。在我国，中小企业已成为国民经济发展的中流砥柱，中小企

2、业能否健康有序发展成为影响我国经济发展成败的关键因素。良好的公司治理能够有效地解决企业内部的委托代理问题，使企业健康发展，基业长青。本文通过对我国中小企业委托代理关系产生的诱因、委托代理现状及委托代理问题的成因进行分析，运用委托代理关系及法人治理结构等方面的理论，针对A电子科技有限责任公司中存在的委托代理问题一一提出相应对策，希望对相似的中小企业产生一些启示，为其更好发展提供点滴贡献。关键词：中小企业；委托代理；公司治理黑龙江大学硕士学位论文⋯⋯一’●⋯’●⋯o⋯Abstract0llIPtlllllllllllllllllllllllllPPPllllIY2322587Witht
