1、硕士学位论文摘要摘要外资并购对我们每一个人来说并不陌生，在2008年发生的可口可乐公司收购汇源公司一案更是在我国掀起有关外资并购的大讨论。我国于2008年颁布实施《反垄断法》，使我国有了对外资并购进行反垄断审查的法律依据。在外资并购不断加速的今天，反垄断审查制度是以保障我国社会主义市场经济健康发展为目的，主要采用对案例进行分析的方式，对案例进行综合性解析和评价，在我国反垄断法律不健全，执法能力和资源相对缺乏的情况下，对我国反垄断执法机构在进行反垄断审查时应考虑哪些因素，以纵横向竞争因素影响为最大，主要包括参

2、与集中的经营者在相关市场的市场份额及其对市场的控制力及相关市场的市场集中度最主要的因素和其他的相关因素，并结合我国的产业和就业政策等因素；对已有案例结果的合理性分析评价，并提出其中的不足和优点。针对在案件中出现的问题，分析其原因，找出问题的症结，提出我国应该建立的以反垄断和国家安全审查制度为主，配合以外资并购法和其他法律法规，完善我国有关外资并购的法律制度，促进我国利用外资的水平，为我国社会主义市场经济的发展保障护航。关键词：反垄断法，反垄断审查，国家安全审查制度硕士学位论文ABSTRACTABSTRACT
