1、内容提要企业债券市场历柬是证券市场的重要组成部分，它的发展不仅能拓宽企业融资渠道、优化企业资本结构，满足投资者多样化的投资需求，而且对证券市场的完善及国民经济的发展具有重要作用。随着我国社会主义市场经济体系的不断完善，企业债券市场的重要意义在不断突出。但是，由于种种原因我国企业债券市场长期以来发展滞后，不仅与企业债券市场发展理论相悖，也不符合国际债券市场的实践，更不适应我国目前金融体制改革的要求以及国民经济发展的需要，为此研究企业债券市场存在的问题，采取适当对策，大力推进企业债券市场的发展很有必要。本文共分三章对我国企业债券市场的发展状况加以分析，并从不同角度提出了完善我国企业债券市场发

2、展的对策建议。笫一章回顾了企业债券市场发展理论，说明发展企!【k债券市场不仅可以优化仓业资本结构、保障企业资产流动性，还有助于完善投资者的投资结构，降低投资风险，进丽阐述了我国发展企业债券市场的战略意义。笫二章介绍了企业债券市场在我国的发展历程，对我国企业债券市场的发展现状进行了客脱的评价。通过对企业债券市场与股票市场、国债市场进行比较，埘企业债券与GDP、国偾发行额等因素进行回归分析，指出在企业债券市场存在一级市场发行规模偏小、二级市场流动性差的问题。最后从制度缺陷和市场缺陷两个方面分析了我国企业债券市场存在问题的成因。基于以上研究，文章第三章主要针对我国企业债券市场存在的问题从企业债
