1、上市公司关联方交易及其信息披露问题的研究【手商要】现今上市公司对同公司产品相关联的公司进行投资，控股等情况越来越多，关联方交易在在其日常经营活动中扮演着越来越平常而重要的角色。基于这种特殊关系的关联方之间的交易，会因可能存在特殊利益关系而使交易失去公允性，上市公司可以利用关联方交易操纵利润，这种行为，将严重侵害债权人和中小投资荠的利益，也对我国经济的发展造成不良影响。而信息披露的规范与否直接影响着证券市场的奋效性，信息披露的非规范化，一方面导致证券市场的信息失真，导致证券市场作为宏观经济晴雨表的信号失灵；另一方面导致证券市场中资源不能有效配置，投资者权益得不

2、到保护。因此，对证券市场信息披露规范化进行研允，具有重大的理论意义和现实意义。本文从关联交易的相关理论入手，针对上市公司关联交易的信息披露屮存在的问题展开讨论，对产生这些问题的原因作了一些探讨和研究，并提出有关完善关联交易信息披露的建议。【关键词】上帘公司关联方关联方交易信息披露StudyOnFinancialInformationDisclosureOfRelatedPartyTransactions[Abstract]Today，listingCorporationtocompanyproductsassociatedwiththeinvestmenti
