1、中文摘要随着企业并购全球化浪潮的推动，我国企业的并购活动也愈演愈烈。企业并购在中国生产的各类资源可以重新分配，并使用更有效，为企业资本运作的重要手段，对企业发展冇着重要的现实意义。在并购给企业带来达成规模经济、增大份额等作用的同时，不可避免地产生一些财务问题，妥善正确处理好并购中的财务问题是成功并购的条件和基础，也是企业并购成功的关键。本文在并购的现状和动因的基础上，试图从价值评估、金融环境、支付环境，并购后的整合等方面进行剖析，找出问题发生的根源。并购价格的确定缺乏深刻的市场基础、对并购后的收益没奋科学预测、不良金融
