1、摘要自1985年我国第一家专业的证券公司深圳特区证券公司成立以来，证券市场逐步发展，证券公司的规模和数量急剧膨胀。但是在这个数量增长的过程中由于券商风险防范意识薄弱，以及外部立法和相应的监管制度不够完善等，我国证券公司累计了大量的风险和违规问题，这些问题在2002年开始集中爆发出来。2002年以来，随着我国证券市场出现长期熊市的状况，一系列证券公司由于各种违规行为最终导致资不抵债无法继续经营，被证监会责令关闭、退市或托收。其中涉及到的主要违规问题有：非法挪用客户资产、非法高息融资、操纵二级市场价格、非法转移公司财产等。本文以上述违规问题作为研究对象，首先分析了

2、违规行为和风险之间的密切关系，并从我国券商的现实状况分析了违规行为的原因。然后通过对国外风险管理理论和国外券商在风险管理和公司治理方面实践的研究，并从风险管理的角度对减少我国证券公司违规行为的问题基础了建议。关键词：证券公司违规行为，VaR风险管理理论，全面风险管理理论IAbstractSincethefirstprofessionalsecuritiescompany:theShenzhenSecuritiesCompanycameintoexistencein1985,SecuritiesMarkethasdevelopedinahighspeedwitht

5、ndenlargedtheirofficeandproportionofprivatebusinessinordertomakeabiggerprofit.Wellwiththedecreaseofsecuritiesmarketin2008,areconsiderationoftheriskofviolationinthepastandthespecificconditionsisverymeaningfultothecompaniesnowadaysespeciallyintheaspectofmanagementpatternandcorporategov
