2、naccordancewiththeCompanyLaw，theSecuritiesLawandotherlawsandrelevantadministrativeregulationsinordertoregulateactivitiesrelatedtothetakeoveroflistedcompanies，promoteoptimizedallocationofsecuritiesmarketresources，protectthelawfulrightsandinterestsofinvestorsandsafegua

3、rdthenormalorderofthesecuritiesmarket.Article2ForthepurposesoftheseProcedures，theterm“takeoveroflistedcompanies”referstoapurchaser’sgainingorpossiblygainingactualcontrolofalistedcompanybyvirtueofhavingobtainedacertainpercentageofsharesinsuchcompanythroughsecuritiestr

4、ansactionsconductedonastockexchangeorbyhavingobtainedacertaindegreeofcontrolofthecompany’ssharesthroughlawfulactivitiesotherthansecuritiestransactionsconductedonastockexchange.Article3Thepurchasermaycarryoutthetakeoverofalistedcompany，andgainthepowertoactuallycontrol

5、thesame，bymeansoftakeoverbyagreement，takeoverbyofferorcentralizedtradingatcompetingpricesonastockexchange.Whenengaginginthetakeoveroflistedcompanies，purchasersshallobservetheprovisionshereofregardingtherulesfortakeoverandperformreportingandannouncementobligationsinac

6、cordancewiththeseProceduresinatimelymanner.Article4Activitiesrelatedtothetakeoveroflistedcompaniesshallcomplywiththeprinciplesoftransparency，equitabilityandfairness.Therelevantpartiesshallactingoodfaithand，ontheirowninitiative，safeguardtheorderofthesecuritiesmarket.A

7、rticle5Theinformationreportedandannouncedbytherelevantpartiesinvolvedinactivitiesrelatedtothetakeoverofalistedcompanymustbetrue，accurateandcompleteandmaynotcontainfalsehoods，misleadingstatementsormajoromissions.Nopersonshallusethetakeoverofalistedcompanytodisseminate

8、falseinformation，disturbthemarketorderorengageinanyotherfraudulentactivities.Article6Thetakeoveroflistedcompaniesmaybeperformedusin
