2、sandinterestsoftheparties，andtopromotethehealthyandorderlydevelopmentofcommercialfranchise.Article2ForthepurposesoftheseProcedures，theterm“commercialfranchising”（hereafter，franchising）shallrefertothearrangementwherebyafranchisor，throughtheconclusionofacontract，authorizesafranchiseetousebusinessres

3、ourcessuchasthetrademark，tradenameandbusinessmodelofwhichithastherighttoauthorizetheusethereofbyotherparties.Thefranchiseeshallconductbusinessactivitiesinaccordancewiththestipulationsofthecontractunderauniformbusinesssystemandpaythefranchisefeestothefranchisor.Article3TheseProceduresshallapplytoth

4、eengagementinfranchisingactivitieswithinthePeople‘sRepublicofChina.Article4Afranchisormay，inaccordancewiththestipulationsofthecontract，directlygrantfranchiserightstoafranchisee.Thefranchiseemayinvestinandestablishfranchiseoutletsandengageinbusinessactivities，butmaynotgrantsub-franchises.Ifafranchi

5、seehasbeengrantedexclusivefranchiserightswithinaparticulararea，itmayfurthergrantsub-franchisetoanotherapplicantandmayestablishitsownfranchiseoutletswithinthatarea.Article5TheoperationoffranchisebusinessshallabidebythelawsandregulationsofthePeople‘sRepublicofChinaandtheprinciplesofvoluntariness，fai

6、rness，honestyandtrustworthiness，andshallnotharmthelawfulrightsandinterestsofconsumers.Afranchisorshallnotuseafranchiseunderfalsepretencestoillegallyengageindirectsellingactivities.Afranchisorthatengagesincommercialactivitiesintheformoffranchisingmaynotcreatemarketmonopolyorobstructfaircompetition.

7、Article6TheMinistryofCommerceshallimplementregulationoffranchisingactivitiesthroughoutChina.Departmentsinchargeofcommerceatalllevelsshallimplementregulationoffranchisingactivitieswithintheirareaofjurisdiction.PAR
