2、icle1TheseProcedureshavebeenformulatedinaccordancewiththeCompanyLaw，theSecuritiesLaw，theAdministrationoftheIssuingandTradingofSharesTentativeRegulationsandotherrelevantlawsandadministrativeregulationsinordertostandardizetheactsofrepurchaseofpublicsharesbylistedcompanies.Articl

3、e2ForthepurposesoftheseProcedures，theterm“repurchaseofpublicsharesbylistedcompanies”meanstheactwherebyalistedcompanypurchasesitsownpublicshares（hereafter，“shares”）andcancelsuchsharesinaccordancewiththelawinordertoreduceitsregisteredcapital.Article3Torepurchaseshares，alistedcom

4、panyshallsubmitrecordfilingmaterialstotheChinaSecuritiesRegulatoryCommission（hereafter，“CSRC”）inaccordancewiththeprovisionshereof.Article4Sharerepurchasebyalistedcompanyshallbeconducivetothesustainabledevelopmentofthecompanyandmaynotprejudicethelawfulrightsandinterestsofitssha

5、reholdersandcreditors.Thedirectors，supervisorsandseniormanagementpersonnelshallactingoodfaithwithduediligenceinsharerepurchase.Article5Whenrepurchasingshares，alistedcompanyshallperformitsinformationdisclosureobligationsinaccordancewiththeprovisionshereof.Thelistedcompanyandits

6、directorsshallguaranteethattheinformationdisclosedistruthful，accurateandcompletewithoutfalserecord，misleadingrepresentationormajoromission.Article6Thelistedcompanyshallengageanindependentfinancialadvisorandalawfirmtoissueprofessionalopinionsonthemattersofsharerepurchase.Theafo

7、rementionedprofessionalinstitutionsshallactingoodfaithwithduediligence，conductduediligenceinvestigationontherelevantmattersofsharerepurchase，verifytherecordfilingmaterialsandguaranteethetruthfulness，accuracyandcompletenessofthedocumentstheyissue.Article7Nooneshallcarryoutinsid
