3、ple'sRepublicofChina,theprovisionsonissuesconcerningtheapplicationoflawbypeople'scourtsintheirtrialofcasesinvolvingcompanydissolutionandliquidationareformulatedasfollows,bytakingintoconsiderationtrialpractices:   为正确适用《中华人民共和国公司法》，结合审判实践，就人民法院审理公司解散和清算案件适用法律问题作出如下规

4、定。  Article1   Ifanactionfordissolutionofacompanyisfiledbyoneshareholderthatholds,ormorethanoneshareholderthattotallyhold,atleasttenpercentofthevotingrightsofalltheshareholdersinthecompanywithanyofthefollowingcausesasthebasis,andthecaseconformstotheprovisionsofArti

5、cle183oftheCompanyLaw,therelevantpeople'scourtshallacceptthecase:(1)Thecompanyfailstoholdashareholders'meetingorageneralmeetingofshareholdersforatleasttwoconsecutiveyears,andtheoperationandmanagementofthecompanyencountersseveredifficulties;(2)Theproportionrequiredf

6、oradoptingaresolutionduringavotedoesnotreachthe11statutoryproportionortheproportionspecifiedbythearticlesofassociationofthecompany,andnovalidresolutionoftheshareholders'meetingsorthegeneralmeetingsofshareholdershavebeenreachedforatleasttwoconsecutiveyears,andtheope

7、rationandmanagementofthecompanyencountersseveredifficulties;(3)Conflictexistsamongthedirectorsofthecompanyforalongtime,whichcannotbesettledthroughtheshareholders'meetingsorthegeneralmeetingsofshareholders,andtheoperationandmanagementofthecompanyencountersseverediff

8、iculties;or(4)Othercircumstanceswheretheoperationandmanagementofthecompanyencountersotherseveredifficulties,andthecontinuanceofthecompany'sexiste
