3、heCompanyLawofthePeople'sRepublicofChina,theprovisionsonissuesconcerningtheapplicationoflawbypeople'scourtsintheirtrialofcasesinvolvingcompanydissolutionandliquidationareformulatedasfollows,bytakingintoconsiderationtrialpractices:   为正确适用《中华人民共和国公司法》，结合审判

4、实践，就人民法院审理公司解散和清算案件适用法律问题作出如下规定。  Article1   Ifanactionfordissolutionofacompanyisfiledbyoneshareholderthatholds,ormorethanoneshareholderthattotallyhold,atleasttenpercentofthevotingrightsofalltheshareholdersinthecompanywithanyofthefollowingcausesasthebasis

5、,andthecaseconformstotheprovisionsofArticle183oftheCompanyLaw,therelevantpeople'scourtshallacceptthecase:(1)Thecompanyfailstoholdashareholders'meetingorageneralmeetingofshareholdersforatleasttwoconsecutiveyears,andtheoperationandmanagementofthecompanyenco

6、untersseveredifficulties;(2)Theproportionrequiredforadoptingaresolutionduringavotedoesnotreachthestatutoryproportionortheproportionspecifiedbythearticlesofassociationofthecompany,andnovalidresolutionoftheshareholders'meetingsorthegeneralmeetingsofsharehol

7、dershavebeenreachedforatleasttwoconsecutiveyears,andtheoperationandmanagementofthecompanyencountersseveredifficulties;(3)Conflictexistsamongthedirectorsofthecompanyforalongtime,whichcannotbesettledthroughtheshareholders'meetingsorthegeneralmeetingsofshare

8、holders,andtheoperationandmanagementofthecompanyencountersseveredifficulties;or(4)Othercircumstanceswheretheoperationandmanagementofthecompanyencountersotherseveredifficulties,andthecontinuanceofthecompany'sexistenc
