3、latium,allofwhicharebasedonY’stortliability.X,etal.allegethefollowing:(a)thatthequalityofthehumanresourcesandmaterialfacilitiesofthepreparatoryschoolweresignificantlylowertowhatweredepictedintheprospectus,amongothers;(b)thatthepurposeofYasitsownerwastocollectentrych
4、argesandexaminationfeesfromstudentsbyfraudulentadvertisements;(c)andthatY’sactionconstitutestortbecauseX,etal.,enteredtheschoolandpaidtheentrychargeandexaminationfeeunderundueinfluenceofsuchfraudulentstatementsincludedintheprospectusandotheradvertisementmaterials.Th
5、edefendantsoughtthedismissalofthecase,allegingthatanarbitrationclause,statedbelow,wasincorporatedintheentryapplicationformforpreparatoryschoolA,andthatanArbitrationAgreementbasedonsucharbitrationclauseexistsbetweenX,etal.,andY.Thearbitrationclausereads:“Ifanydispute
6、,includingderivativedispute,arisesbetweenthepreparatoryschool(the“School”)andtheapplicant(the“Applicant”)underthisentryapplicationcontract,allsuchdisputesshallbereferredtothearbitrationbyanarbitrator/attorneytobeappointedbytheSchoolatthetimeoftheoccurrenceofsuchdisp
7、ute,andtheSchoolandtheApplicantshallbeboundbythearbitralaward.Bothparties3havefullunderstandingofthefactthatcourtswillbeprecludedfrominterveninginthedisputebythisArbitrationAgreementandontheirobligationtoresolvethedisputesbythearbitrationunderthisArbitrationAgreemen
