3、eivingParty”)orwhich,underthecircumstancessurroundingdisclosureoughttobetreatedasconfidentialbytheReceivingParty."ConfidentialInformation"includes,withoutlimitation,informationintangibleorintangibleformrelatingtoand/orincludingallbusiness,technical,andfinancialinformation(including
4、,withoutlimitation,specificcustomerrequirements,customerandpotentialcustomerlists,marketingandpromotionalinformation,tradesecret,copyright,andtrademarkinformation,andinformationconcerningaparty’semployees,agents,divisions,practices,policies,operations,andpricinginformation),aswella
5、sinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.ExceptasotherwiseindicatedinthisAgreement,theterm“DisclosingParty”alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiseindicated,theterm“ReceivingParty”alsoincludesallAffiliatesoftheRecei
6、vingParty.An“Affiliate”meansanyperson,partnership,jointventure,corporationorotherformofenterprise,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareundercommoncontrolwithaparty.(b)ConfidentialInformationshallnotincludeanyin
7、formation,howeverdesignated,that:(i) isorsubsequentlybecomespubliclyavailablewithoutReceivingParty'sbreachofanyobligationowedDisclosingParty;(ii) becameknowntoReceivingPartypriortoDisclosingParty’sdisclosureofsuchinformationtoReceivingPartypursuanttothetermsofthisAgreement;(iii) be
