3、rtheirmutualbenefit,mayhaveexchangedandwishtofurtherexchangecertaininformation,includingbutnotlimitedto,tradesecretsandproprietaryknow-howinorderthateachofthemmayevaluatesuchinformationforthepurposeofdeterminingtheirrespectiveinterestsinestablishingabusinessrelationshipbe

4、tweenthem.(B)Thepartieswishtodefinetheirrightswithrespecttothesaidinformationandtoprotecttheconfidentialitythereofandproprietaryfeaturescontainedtherein.(C)TheCompanyacknowledgesthatallinformationordatarelatingtothePurposewhetherinwriting,orallyorbyanyothermeansifdisclose

5、drd(whetherdirectlyorindirectly)toathird(3)partywithouttheexpressauthorizationofNHGishighlyconfidentialandwouldhaveadetrimentaleffectonthebusinessofNHG,andthatitsdisclosurecouldnotonlyexposeNHGtoliabilitybutalsotojudicialsanctionsandthatsuchdisclosuremightalsoadverselyaff

6、ectNHG’spatientsandundercertaincircumstances,disclosurebytheCompanycouldexposetheCompanytocriminalprosecution.InconsiderationofbeingmadeprivytotheConfidentialInformation,theCompanyherebyagreestoobserveandbeboundbythetermsoftheAgreement.NOWITISHEREBYAGREEDASFOLLOWS:1.DEFIN
