4、anceofsuchpossiblebusinessarrangement(the“Purpose”);AGREEMENTNOW,THEREFORE,forgoodandvaluableconsideration,thesufficiencyofwhichisherebyacknowledged,thepartiesagreeasfollows:1.Definition.ForthepurposesofthisAgreement,“ConfidentialInformation”anyinformationthat(i)hasbeenmarkmarked“confidential”orwit
5、hwordsofsimilarmeaning,atthetimeofdisclosuretoRecipient;(ii)ifdisclosedorallyornotmarked“confidential”orwithwordsofsimilarmeaning,wassubsequentlysummarizedinwritingbytheDisclosingPartyandmarked“confidential”orwithwordsofsimilarmeaning;and,(iii)shouldreasonablyberecognizedasconfidentialinformationof
6、theDisclosingParty.“ConfidentialInformation”includes,withoutlimitation,includesinformation,ideasandmaterialsoforabouttheDisclosingPartyand/oritsaffiliates,employeesorcustomersthatarenotgenerallyknowntothepublic,including,withoutlimitation,information,ideasormaterialsrelatingtomethodsortechnology,tr
