4、aidtowardstangibleandintangibleassets.TheReportsetsoutthefactualinformation,assumptionswhicharetoformthebasisoftheValuationandVVSS’s’sconclusionsonthePurchasePriceAllocation.IthasbeenpreparedinaccordancewithourLetterofEngagement(LoE).ThisReportisbasedontheinformationwhichwasprovided

5、toVVSSbythemanagementofXYZ.Inarrivingatourconclusions,VVSSappliedgenerallyacceptedvaluationmethodologiesasontheValuationdate.WehavebasedouranalysisonthehistoricalfinancialstatementsoftheBusinessfortheperiod1January2008to30June2010.Additionally,ouranalysisisbasedontheManagementBusine
