1、SalesContract(한중간)PREFACESincethenormalizationofdiplomaticrelationsbetweenneighborsKoreaandChinain1992,thetraderelationshavedevelopedinadesireddirectionandthevolumeoftradehasincreasedrapidly.Inordertopromoteandfacilitatethedevelopmentofbilateraltrade,the

2、Korea-ChinaTradeContractTermsStudyCommitteeandtheChinaForeignTradeContractTermsStudyCommitteewererespectivelyselectedtoberesponsibleforthetaskofpreparingModelTermsofContractsforSaleofGoods(hereinafterreferredtoasthe"ModelTerms").TheModelTerms,intendedtob

3、eusedbyKoreanandChinesetradingfirmsandcorporationsinformulatingtheirownstandardcontracts,werecompletedinDecember,1996.TheModelTermsarebasedonthecurrenteffectivelaws,theinternationaltreatiesandtheinternationaltradeusagesaccededbythetwocountries,aswellasIn

4、coterms,1990andUniformCustomsandPracticeforDocumentaryCredits,1993Revision.InordertoproperlyusetheModelTerms,instructionsaregivenasfollows:1.TheModelTermsareintendedtobeusedforthedraftingofcontractsforthesaleofgoodsbetweenthetwocountries'tradingfirmsandc

5、orporations.2.TheModelTermsareintendedtoprovideasampleofcontracttermsandconditions.Theyarenotintendedtoconstituteaspecifiedcontract.3.SomeoftheModelTermsprovideoneormorealternativestoaccommodatedifferentkindsoftransactionsandvariouscategoriesofgoods.4.Wh

6、enconcludingspecifiedcontracts,eachtradingfirmandcorporationinbothnationsmaymodifytheprovisionsoftheModelTermsandincorporatenewprovisionsintotheircontractsaccordingtothenatureofthetransactionorgoods.5.TheModelTermsprovideformaritimetransportation,however

7、,ifothermeansoftransportationaretobeemployed,therelevantprovisionsintheModelTermsshouldbemodifiedandnewprovisionsshouldbeincorporatedintothecontracts.TheKorea-ChinaTradeContractTermsStudyCommitteeandtheChinaForeignTradeContractTermsStudyCommitteehopethat
