1、高技术虚拟企业共同治理模式研究YANGCai-xia,GAOChang-yuanSchoolofEconomyandManagement,HarbinUniversityofScienceandTechnology,P.R.China,150040摘耍：由于高技术虚拟企业不是法人实体，而是一种跨组织的合作形式，传统的公司治理模式已不适合高技术虚拟企业。本文运用系统的观点，从高技术虚拟企业整体合作关系的角度构建出利益相关者共同治理的体系结构，并将高技术虚拟企业共同治理主体的范閑界圧为紧密层成员企业；将高技术虚拟企业分为盟上型、民丄联邦型和联盟型三种不同的组织协调

2、模式来阐述控制权的分配问题；并针对高技术虚拟企业人力资本含量高的特点，设计了均占原则、市场原则和边际调整原则等剩余索取权的配置原则；最后指出为保障高技术虚拟企业成功运作需耍建立合同和信任机制、核心能力评估与合作伙伴选择机制、协调机制、信息共享机制、保密机制、风险控制和成员退出机制等关键治理机制。旨在为我国高技术虚拟企业实际运作屮的治理问题提供理论指导，并为虚拟企业治理体系的建立和完善提供新的思路。关键词：高技术虚拟企业，共同治理，利益相关者Abstract:BecauseHigh-techVirtualEnterprise(AbbreviationisHTVE
