1、摘要本文通过对利益相关者共同治理理论探讨的回顾建立了一个基于利益相关者的公司治理标准模型并将其与传统西方治理模式进行了比较分析本文还对我国的公司治理特别是国有企业改革问题进行了理论和实证研究提出了自己的意见和建议由于受到各国政治经济和文化环境的制约以及行业发展水平的限制公司治理模式不可能有一个普适的标准但是随着知识经济的来临和人力资本所有者在公司地位的提升利益相关者共同治理已经成为未来公司治理发展的趋势保护利益相关者的权益并通过各利益集团的制衡机制实现公司决策的科学性目标最终保持公司的盈利和可持续性发展已经成为各国公司治理实践中的共识本文据此从
2、控制权的配置和行使董事会和经理员工的监督评价以及激励机制的设计和实施等三个方面构建了标准的利益相关者共同治理模型而在我国随着国有企业改革的不断深入公司制成为国有企业的主要组织形式而公司治理模式也已成为改革的一个热点和难点问题本文认为不论是从解决我国国有企业股权结构问题的角度还是从弱化国有企业所有者缺位和内部人控制现象等问题的角度利益相关者共同治理不失为一项更可行的公司治理结构重构方案在此基础上本文对方正科技集团股份有限公司的高层管理人员和核心骨干人员的集体出走事件进行了实证分析进一步支持了文章的观点关键词利益相关者共同治理公司治理

5、ntries.Butwiththecomingoftheknowledgeeconomicsandthepromotingofthehumanresource,itisatrendforthestakeholderstoparticipateinthecorporategovernance.Toprotectthestakeholderrightsinmanycompaniessothattheirlong-termvalueorpersistentdevelopmentcanberealized,thereengineeringofthecorporate
