2、tancetheoriginalPurchasernamedhereinandalsotheassignsofsuchPurchaser);WITNESSETH:WHEREAS,theSelleristherecordownerandholderoftheissuedandoutstandingsharesofthecapitalstockof,hereinafterreferredtoasthe"Corporation",acorporation,whichCorporationhasissuedcapitalstockofsharesof$parvaluecom
3、monstock,andWHEREAS,thePurchaserdesirestopurchasealloftheissuedandoutstandingcapitalstockoftheCorporation(referredtoasthe"Corporation'sStock"),andtheSellerdesirestosellorcausetobesoldalloftheCorporation'sstock,uponthetermsandsubjecttotheconditionshereinaftersetforth;NOW,THEREFORE,incon
4、siderationofthemutualcovenantsandagreementscontainedinthisAgreement,andinordertoconsummatethepurchaseandthesaleoftheCorporation'sStockaforementioned,itisherebyagreedasfollows:1.PURCHASEANDSALE:CLOSING.a.PurchaseandSaleofCorporation'sStock.Subjecttothetermsandconditionshereinaftersetfor
5、th,attheclosingofthetransactioncontemplatedhereby,theSellershallsell,conveyandtransfer,orcausetobesold,conveyedortransferred,alloftheCorporation'sStockanddelivertothePurchasercertificatesrepresentingsuchstock,andthePurchasershallpurchasefromtheSellertheCorporation'sStockinconsideration
6、ofthepurchasepricesetforthinSection2andExhibit"A"ofthisAgreement.ThecertificatesrepresentingtheCorporation'sStockshallbedulyendorsedfortransferoraccompaniedbyappropriatestocktransferpowersdulyexecutedinblank,ineithercasewithsignaturesguaranteedinthecustomaryfashion,andshallhaveallthene
