3、on."PARTIThePartieswishtocommencenegotiatingadefinitivewrittenacquisitionagreementprovidingforthePossibleAcquisition(a"DefinitiveAgreement").TofacilitatethenegotiationofaDefinitiveAgreement,thePartiesrequestthattheBuyer'scounselprepareaninitialdraft.TheexecutionofanysuchDefinitiveAgreementw

4、ouldbesubjecttothesatisfactorycompletionoftheBuyer'songoinginvestigationoftheTargetCompanies'business,andwouldalsobesubjecttoapprovalbytheBuyer'sboardofdirectors.BasedontheinformationcurrentlyknowntotheBuyer,itisproposedthattheDefinitiveAgreementincludethefollowingterms:1.BasicTransaction.T

5、heSellerswouldsellalloftheoutstandingcapitalstockoftheCompanytotheBuyerattheprice(the"PurchasePrice")setforthinParagraph2below.Theclosingofthistransaction(the"Closing")wouldoccurassoonaspossible2.PurchasePrice.ThePurchasePricewouldbe$____________(subjecttoadjustmentasdescribedbelow)andwould
