1、摘要股权激励是公司以一定的业绩标准为条件授予经营者以股权，从而勉励其为公司的长期发展服务的一种激励方法。股权激励是现代企业激励经营者的重要方式，也是解决公司所有者和管理者之间的“委托-代理”问题的有效手段，在上市公司中也有较多的运用。股权激励能够积极作用于改善公司治理结构、提高管理效率、加强公司凝聚力和提升市场竞争力等。近年来，从我国上市公司实施股权激励的比例上看，中小板和创业板为主要板块，且占比逐年上升。本文以东方园林股份有限公司的股权激励方案为例进行分析。该公司是2009年11月在深圳中小板上市（股票代码002310），园林行业中国A股第一股，全球景观行业市值最大的公司。截

2、止2014年4月底，东方园林股权激励计划已经实施3次，且激励对象不仅有公司高级管理层，也包括公司的中层管理人员，及技术骨干等核心人员。通过对部分财务数据进行分析，发现东方园林股权激励实施后，业绩大幅增长，特别是实施当年业绩增长更快，同时，公司员工人数大幅度增加，销售毛利率也逐年提高。对比分析同时期股票指数和同行业上市公司股价，发现东方园林股票在二级市场产生较为显著的超额收益，为投资者提供了较高的投资回报。东方园林股权激励计划实施以来，由于内部治理进一步完善，业务方式不断创新等因素推动，公司业绩实现快速增长。为能有效保证企业竞争优势和业绩的持续增长，以及股权激励计划有效的实施，东
