1、摘要我国企业价值评估始于上世纪八十年代末，企业价值评估为我国企业的改革、价值管理提供了强有力的智力支持和技术支持。随着我国市场经济快速发展，市场上频繁发生公司上市、并购交易、企业改制、资产重组、跨国经营等经济活动，这需要准确地评估企业价值，科学地指导投资决策。由于我国的企业价值评估业务刚刚起步，迫切需要进一步借鉴西方发达国家的成功经验，完善企业价值评估理论体系，提升评估人员的专业素养。本文在第一章绪论中研究了企业价值评估的背景和意义，从企业价值评估影响因素、评估方法、评估体系思路、评估中存在的问题及对策等角度做了理论研究现状分析。第二章较为详细地介绍了企业价值评估的概念、主

2、要要素及三种重要的评估方法。第三章介绍了企业价值评估的相关法律法规及评估程序。第四章提供了具有代表性的涉及股权转让的企业价值评估案例——“山东某股份有限公司拟转让其持有的山东某发展有限公司30%股权项目所涉及的山东某发展有限公司评估报告”。第五章给出了案例详细的评估过程，并对相关问题进行了深度分析。主要从三个方面对案例进行了深度分析：企业价值评估在整体方法选择上要根据企业实际情况选择合适的评估方法；在运用成本法进行各单项资产评估时要合理进行资产划分，合理设定假设前提，准确选择评估方法；企业价值评估要提高估价人员素质，合理进行风险控制。第六章是本论文的结论和建议。关键词：企业
