3、DateofGrant:VestingCommencementDate:XXXExpirationDate:1.NumberofShares.TheCompanyherebygrantstoParticipantanoption(this"Option”)topurchasethetotalnumberofXXXsharesofOrdinarySharessetforthaboveasSharesSubjecttoOption(the"OptionShares11)attheExercisePrice

6、t(25%)oftheaggregatenumberofoptionsuponthefirstanniversaryoftheVestingCommencementDate,fiftypercent(50%)oftheaggregatenumberofoptionsuponthesecondanniversaryoftheVestingCommencementDate,seventyfivepercent(75%)oftheaggregatenumberofoptionsuponthethirdann

7、iversaryoftheVestingCommencementDate,andtheremainingtwentyfivepercent(25%)oftheaggregatenumberofoptionsthereafteronthefourthanniversaryoftheVestingCommencementDate,suchthattheentirestockoptionssuchParticipantisgrantedwillvestinitsentiretyoveraperiodoffo

8、uryears.4.AccelerationofVesting.NotwithstandinganythingtothecontrarycontainedinthisPlan,ifaChangeinControloftheCompanyoccurs,theOptionsoftheParticipantnotvestedunderthisOptionAgreementshallvestinfullsothatsuchOptionsshall,immedia
