1、SHAREOPTIONAGREEMENTName:Plan:2008ShareIncentivePlanAddress:Grant:OptiontopurchasesharesoftheordinarysharecapitalofxxxxxSignature:ExercisePrice:GrantDate:EffectiveontheGrantDateyouhavebeengrantedanoptiontopurchasethenumberofSharesoftheCompanyattheexerc

2、isepricedesignatedabove,inaccordancewiththeprovisionsofthe2008ShareIncentivePlan(the"PlanJ.Thisoptionmaybeexercisedforwholesharesonly.AlltermsusedbutnotdefinedhereinshallhavethemeaningsassignedtotheminthePlan.SubjecttothetermshereofandthePlan,theoption

3、sshallvestandbecomeexercisableaccordingtothefollowingtermsandschedule:(a)YoumaynotvestuntilafterthefirstanniversaryofthedatewhentheOptionsaregranted(the"CommencementDateJ;and(b)Optionsgrantedmayvest25%onthefirstanniversaryofthedatewhentheOptionsaregran

4、ted("FirstVestingDate");and(c)TherestoftheOptionsgrantedcanvestatarateof12.5%every6monthsaftertheFirstVestingDateoveraperiodof36months.IntheeventoftheterminationofyouremploymentorservicefortheCompany,foranyreason,whethersuchterminationisoccasionedbyyou

5、,orbytheCompanyoranyofitsSubsidiariesorRelatedEntities,orwithorwithoutcauseorbymutualagreementorifyouceasetobeemployedbyaRelatedEntityeitherthroughsaleorotherwise^TerminationofServiceJyourrighttovestinyouroptionunderthePlan,ifany,willterminateeffective

6、asoftheearlierof:(i)thedatethatyougiveorareprovidedwithwrittennoticeofTerminationofService,or(ii)ifyouareanemployeeoftheCompanyoranyofitsSubsidiaries,thedatethatyouarenolongeractivelyemployedandphysicallypresentonthepremisesoftheCompanyoranyofitsSubsid

7、iaries,regardlessofanynoticeperiodorperiodofpayinlieuofsuchnoticerequiredunderanyapplicablestatuteorthecommonlaw(each,the"NoticePeriod^).Forgreaterclarity,youhavenorightstovestinyouroptionduringtheNoticePeriod.Notwithstandinganythingtothecontraryherein

8、,ifyourTerminationofServiceisbyreasonofcause,thenyourrighttoexercisetheoptionshallterminateconcurrentlywithyourTerminationofService.Forthispurposecauseshallhavethemeaningasexpresslydefinedinanythen-effectivewrittenagreementregardingyour
