1、Thisdraftisdated,,andissolelyforpurposesofnegotiation・Nocontractshallexistuntilafinal,writtenagreementissignedbyFoundationandanauthorizedrepresentativeofOptionee.Thisdraftshallexpirethirty(30)daysaftertheabovedate・OPTION[ANDRESEARCHLICENSE]AGREEMENTThisAgreementisenteredintoasof,20—(the"Effectiv
2、eDate^),between[NAMEOFFOUNDATION],anOhiononprofitcorporation,havingaprincipalplaceofbusinessat[ADDRESS](“Foundation")and[NAMEOFENTITY],a[STATEOFORGANIZATION][TYPEOFENTITY]withaprincipalplaceofbusinessat[ADDRESS]("Optionee").BACKGROUNDA.Foundationistheownerofallrightstoandinterestsinthediscoverie
3、s,inventionsandpatentsconstitutingtheOptionedTechnology(definedbelow).B.Foundationdesirestohavesuchdiscoveries,inventionsandpatentscommerciallydevelopedtoservethepublicgood.C.OptioneemaybeinterestedinobtainingalicenseundertheOptionedTechnology!,anddesiresaperiodoftimeinwhichtoevaluatewhethertone

5、orysetforthinAppendixA.1.4"OptionedPatents”meansthepatentsandpatentapplicationssetforthinAppendixA.1.5"OptionedTechnology”meansthetechnologysetforthinAppendixA.1.6^FoundationIndemnitees”meansFoundation,[NameofUniversity],andtheirrespectiveemployees,students,trustees,agentsandconsultants.1.7"Prod
6、ucts”meansaproduct,orpartofaproduct,oraprocessintheOptionedFieldofUse:(a)themaking,havingmade,using,importing,practicing,sellingorleasingofwhich,absentthislicense,infringes,inducesinfringement,orcontributestoinfringementofanyValidClaimofanOptionedPatent;or(a)whichismadewith,uses,incorporatesorpr
7、acticesanyOptionedTechnology.1.8"ValidClaim”meansanyissuedclaimoftheOptionedPatentsthathasnotexpired,orbeenfinallyheldasinvalidorunenforceablebyacourtoradministrativebodyofcompetentjurisdictionfromwhichnoappealcanbeoristaken
