2、ncipalplaceofbusinessat[ADDRESS](“Optionee”).BACKGROUNDA.Foundationistheownerofallrightstoandinterestsinthediscoveries,inventionsandpatentsconstitutingtheOptionedTechnology(definedbelow).B.Foundationdesirestohavesuchdiscoveries,inventionsandpatentscommerciallydevelopedtose
3、rvethepublicgood.C.OptioneemaybeinterestedinobtainingalicenseundertheOptionedTechnology[,anddesiresaperiodoftimeinwhichtoevaluatewhethertonegotiatealicensethereto].Thepartiesthereforeagreeasfollows:ARTICLEI-DEFINITIONSForpurposesofthisAgreement,thefollowingwordsandphrasesh
4、avethefollowingmeanings:1.1“OptionField”meansthefieldofusesetforthinAppendixA.1.2“OptionPeriod”meanstheperiodsetforthinAppendixA.1.3.“OptionTerritory”meanstheterritorysetforthinAppendixA.1.4“OptionedPatents”meansthepatentsandpatentapplicationssetforthinAppendixA.1.5“Option
5、edTechnology”meansthetechnologysetforthinAppendixA.1.6“FoundationIndemnitees”meansFoundation,[NameofUniversity],andtheirrespectiveemployees,students,trustees,agentsandconsultants.1.7“Products”meansaproduct,orpartofaproduct,oraprocessintheOptionedFieldofUse:(a)themaking,hav
6、ingmade,using,importing,practicing,sellingorleasingofwhich,absentthislicense,infringes,inducesinfringement,orcontributestoinfringementofanyValidClaimofanOptionedPatent;or7(b)whichismadewith,uses,incorporatesorpracticesanyOptionedTechnology.1.8“ValidClaim”meansanyissuedclai
7、moftheOptionedPatentsthathasnotexpired,orbeenfinallyheldasinvalidorunenforceablebyacourtoradministrativebodyofcompetentjurisdictionfromwhichnoappealcanbeoristaken,aswellasanypendingclaimoftheOptionedPatentsthatisbeingprosecutedingoodfaith,andthathasnotbeenfinallyandconclus
