1、摘要合伙企业在我国市场经济中占有重要地位，虽然冃前我国法律已经赋予合伙企业破产能力，但由于长期以來一直不承认其破产能力，导致和关立法经验比较少，相关立法比较粗糙，尤其是在合伙金业破产免责制度方面，由于法律规定对此存在漏洞，人们对合伙企业破产免责的认识和了解十分冇限。因此，本文拟通过分析和比较国外相关规定，结合我国具体情况，对合伙企业破产免责的相关问题进行探讨论述，希望为完善我国合伙企业破产免责制度贡献微薄Z力。合伙企业破产免责制度需耍研究的问题很多，本文仅就作者认为冃而有待继续完善，也比较重要的几个问题分为四章进行论述：第一章在分
2、析合伙企业破产免责的概念及发展问题的基础上，提出在我国建立合伙企业破产免责制度的必要性。第二章分析国外破产免责制度的立法例。列举了英国、美国和日本破产免责制度的立法模式，并对此进行总结，以便于汲取有益经验，从而为我国合伙企业破产免责制度的构建提供借鉴。第三章分析了合伙企业破产免责制度的特殊问题。对不同合伙人获得不同免责的情况进行列举，并对此进行了相关论述。第四章针对我国的具体情况，指出我国应建立许可免责为主，当然免责为辅的立法体例。并对貝体制度的构建提出完善建议，同时提出健全我国的个人信用体系,从而为合伙企业破产免责制度萸定更好的
