2、rand(iii)XXTourismHolding(Group)CompanyLtd.(XX旅业控股(集团)有限公司),acompanyincorporatedandexistingunderthelawsofthePRC(the"Guarantor^).TheLender,theBorrowerandtheGuarantorarereferredtohereincollectivelyasthe“Parties"andindividuallyasa4Tarty'WHEREAS,theLendersignedaS
3、eriesAPreferenceSharePurchaseAgreementwithXXInternationalHoldingCo.,Limited,acompanyincoi-poratedandexistingunderthelawsofCaymanIslands("XXHoldingJ,whichisgoingtobethesoleshareholderoftheBorrower,andotherrelatedpartiesonSeptember18,2011("SPA")toinvestintheseri
4、esAfinancingofXXHolding(the"SeriesAFinancing")byacquiringseriesApreferencesharesissuedbyXXHolding("SeriesAShares^)(exceptotherwiseprovidedherein,allcapitalizedtermsusedbutnotdefinedhereinshallhavethemeaningascribedtothemintheSPA);WHEREAS,theBorrowerisintheproc
5、essofestablishingawhollyforeignownedenterpriseinthePRC(“WFOE"),whichwillenterintoaseriesofRestructuringAgreementswithXXTravelInternetServiceCo.,Ltd.(XX旅行网络服务有限公司)("PRCCompany。andtheincorporationoftheWFOEandtheexecutionofRestructuringAgreementsareconditionsprec
6、edenttotheInitialClosingoftheSeriesAFinancingbytheLender;WHEREAS,theLenderintendstolend[US$7,317,000]totheBorrowerpursuanttotheconditionsandtermsofthisAgreementforthepurposeoffacilitatingtheincorporationoftheWFOE(the"Loan");NOW,THEREFORE,inconsiderationofthepr
7、emisessetforthabove,themutualcovenantsandagreementssetforthhereinandforothergoodandvaluableconsideration,thereceiptandadequacyofwhichareherebyacknowledged,thePartiesheretoherebyagreeasfollows:SECTION1LOAN1」Loan.SubjecttothetermsandconditionsofthisAgreement,the
