nsesshallbereimbursedtobluesign(e.g・cancelledairlineticketsetc.).企业在少于14天的情况下取消现场访问，则需补偿蓝标相关的费用（如机票费等）。1.1Allfeesandcostsforservicesrenderedbybluesigndonotincludetaxes(includingbutnotlimitedtovalueaddedtaxesortheirequivalent),levies,imposts,stampduties,chargesorwithholdingtaxesandallliabilitieswithrespecttheretoofwhatsoevernatureorkind(collectivelyreferredtoas"Taxes")whichwillbeinvoicedtoCompanyinaccordaneewithapplicablelocallaw.AnyandallpaymentsmadebyCompanyshallbemadefreeandclearofandwithoutwithhold!ngordeductionof,anyTaxes,unlesssuchwithhold!ngordeductionisrequiredbyapplicablelawand/orbyapplicabledoubletaxtreaties・Companyshallpromptlyprovidebluesignwithevidenceofsuchpaymentandcopiesofalldocumentationsubmittedwitheachsuchpayment・ThePartiesshallusetheirbestendeavorstoobtainarefundofthedeductionsorarecoveryofanyapplicableTaxandwillsupporteachotherintheirobligationsinthisrespect.AnyTaxrefundedwillbereimbursedaccordingtoentitlement.所有收费和服务由蓝标报价，不包括任何性质或种类及其有关的税收(包括但不限于增值税或同等)，征费，关税，印花税，收费或扣缴税款及所有负债(企业按照当地适用的法律，将发票统称为“税”)。企业支付的所有款项应当未被置留和抵押，没有扣缴或抵扣税款。企业应及时提供支付证据。双方应尽其最大努力获得减税或退税。根据授权法对相关方进行退税补贴。1.2Companywillpromptlypaynotlaterthan30daysfromtherelevantinvoicedateorwithinsuchotherperiodasmaybeestablishedbybluesignintheinvoice(the"DueDate")allfeesduetobluesign.IfCompanyfailstodoso,aninterestwillbecomedueatarateof1.5%permonth(orsuchotherrateasmaybeestablishedintheinvoice)fromtheDueDateuptoandincludingthedatepaymentisactuallyreceived・Theaccruedinterestshallbepaidtobluesignalongwiththelatepayment.企业支付不得迟于有关发票Fl期的30天，或蓝标发票规定的期限(“截止日期”)。如果企业未及时付款，将收取每月1.5%(或可开据发票等其他利率)的利率。如逾期付款的，需向蓝标支付利息。1.3ThePartiesagreethatbluesignmayreviewandincreasethefeesetoutinthissectionifbluesignfindsadifferentsituationduringtheScreeningasoutlinedinthisagreement(page1)andreported(e.g.additionalprocesses,significantlargernumberofchemicalproductsused).InsuchcasesbluesignshallgiveCompanyawrittennoticeofanysuchincrease・双方同意蓝标可根据实际情况修改或增加审查费用(如审计过程中出现额外过程，化工产品用数量多于预期)，详情参考协议中的概述(第1页)。在这种情况下，蓝标需向企业发出书面通知。Art.6Warranties/Liabilities条目6责任义务Nowarrantyisgiventhatthebluesign®know-howiscompleteorfreefromdefectsorcomplieswithlocallaworregulations.Companyaloneisresponsibleandliableforcomplianeewithlocalcountrylawsandregulations(inparticularregardingprotectionofhealthandenvironment).蓝标不承诺商标完全或无缺陷的符合当地法律法规。企业需对当地国家的法律和法规(特别 是有关健康和环境的保护）负责。bluesignshallbeliableneitherforthetechnicalorcommercialsuccessofbluesign®knowhownorthesuccessfuloptimizationofCompany'sproductionprocessesandpracticesbasedontheScreeningReport・蓝标不对蓝标®专有知识的技术层面及其商业成功负责。不对企业生产流程的优化成功负责。NothinginthisAgreementshalllimiteitherParty'sliabilityinrespectofanyclaimfordeathorpersonalinjurycausedbythenegligeneeofsuchPartyoranyotherliabilitywhichmaynotbelimitedorexcludedatlaw・本协议不得限制或排除rti任何一方的疏忽造成的死亡或人身伤害索赔。Company'sandbluesign'sliabilityforsimplenegligeneeaswellasforindirect,punitive,special,incidentaIorconsequentialdamagesand/orlostprofitorlossesofbusinessbasedondamagestotheCompany'sreputationareexcludedinanycaseevenifbluesignhasbeeninformedaboutthepossibilityofsuchdamages・企业和蓝标对简单疏忽，间接的，惩罚性的，特殊的，偶然的或相应的损害赔偿和/或因公司名誉受损造成的利润折损或业务损失，都不必负责。蓝标已被通知有这种损害的可能性。IntheeventofanybreachofbluesigrfsexpressobligationsunderthisAgreement,theremediestoCompanywillbelimitedtodirectdamagesonlyandnogreaterthanCHFlOO'OOO.-bluesignwillbeundernoliabilitytotheCompanywhatsoever(whetherincontract,tort(includingnegligenee),breachofstatutoryduty,restitutionorotherwise)foranyinjury,death,damageordirect,indirectorconsequentialloss(allthreeofwhichtermsinelude,withoutlimitation,pureeconomicloss,lossofprofits,lossofbusiness,depletionofgoodwillandlikeloss)howsoevercaused,arisingoutoforinconnectionwithanybreachbybluesignofanyoftheexpressorimpliedtermsoftheAgreement;andanystatementmadeornotmade,oradvicegivenornotgiven,byoronbehalfofbluesign.bluesignherebyexcludestothefullestextentpermissibleinlaw,allconditions,warrantiesandstipulations,express(otherthanthosesetoutintheAgreement)orimplied,statutory,customaryorotherwisewhich,butforsuchexclusion,wouldormightsubsistinfavoroftheCompany.在本协议下，蓝标如有任何违反明示义务行为造成企业直接损失的，做出不超过100000瑞士法郎的补贴。蓝标不承担企业以下损失(无论是在合同，侵权(包括过失)，违反法定义务，恢复原状或以其他方式)；任何伤害，死亡，伤害；直接，间接或后果性的损失(这三个方面包插但不限于纯经济损失，利润损失，业务损失，商誉及类似损失损耗)；各种原因引起，与此协议明示或隐含条款的相关，不管蓝标是否做出陈述，是否给予建议，蓝标不承担责任。Art.7LiquidatedDamages条目7违约金7.1Companyisawareofthesignificaneeofthebluesign®system.企业了解蓝标商标的意义所在。7.2IfCompanywillfullyornegligentlyviolatesitsobligationsunderthisAgreement,inparticular, unenforceableprovisionshallbereplacedbyanewonewhichreflectstheexpressorimplicitintentionofthePartiesasmuchaspossible.如杲木协议的任何条款无效或因任何原因无法执行，双方协商同意，该协议的其余条款不受到影响。无效或不可执行的条款，应更换新的条款以反映了协议双方意愿。Art.9Jurisdiction条目9管辖权ThisAgreementshallbegovernedbythesubstantivelawsofSwitzerlandexclusiveofanyruleswithrespecttoconflictsoflawsandbefinallysettledundertheRulesofArbitrationoftheInternationalChamberofCommercebyoneormorearbitratorsappointedinaccordaneewiththesaidrules・ThearbitrationshalltakeplaceinZurich(Switzerland)andbeconductedintheEnglishIanguage.本协议应受瑞士法律约束，并根据国际商会的仲裁规则最终解决，按上述规则，委任一名或多名仲裁员仲裁。仲裁应在苏黎世(瑞士)以英语进行。Art.10Specialremarks(changestostandardagreement)条目10特殊事项None无AppendixA:bluesign®knowhow附件A蓝标专业知识A.lbluesign®systemA.1蓝标系统Thebluesign®systemunitestheentiretextilesupplychaintojointlyreduceitsimpactonpeopleandtheenvironment.TheInput-Stream-Managementensuresthatapprovedchemicalproductsandrawmaterialsareusedinallstepsofthemanufacturingprocess・Substancesposingriskstopeopleandtheenvironmentarehenceelimimatedfromtheverybeginning.On-siteinspectionsverifytheproperapplicationofsuchchemicalproductsandrawmaterialsincontrolledprocessesandensuretheresponsibleuseofresources・蓝标系统联合整个纺织供应链共同减少纺织工业对人和环境的影响。输入流的管理确保了生产过程的所有步骤采用被认可的化学品及原料。从源头把控生产对人和环境造成的风险。把控手段为现场检查和核实。A.2bluesign®homologationprocedureA.2认可流程bluesigndevelopedthehomologationprincipleinordertobeabletohavereliablefindingsonwhethercertaincomponentsaresafeforthehumanhealthandtheenvironmentaswellasmaximizeresourceproductivity・Limitsfortheinputstreamsaredeterminedinviewoffivemainaspects:resourceproductivity,consumersafety,airemission,wateremission,andoccupationalhealth・Thecomponentsareassessedaccordingtothisbasis,andclassifiedaseitherblueorgrey.Components,orsubstancescontainedtherein,thatdonotmeetthebluesign®criteriaareclassifiedblackandexcludedfromthemanufacturingprocess・
