1、ThisAgreementisdated_____________________(“AgreementDate”)Between:1.[HanjunYI&TongtongCHEN],withtheiraddressatRoom9C,Building1,JinHaiYanGarden,QiaochengDengRd,Shenzhen,China(“client/clients”);and2.[RayWhiteHongKong],withitsregisteredaddressatUnit1004-1005,10/F,StarHouse,3SalisburyRd,Kow
2、loon,HongKong(“RWHK”).Partieshaveagreedtoco-operateassetoutinthisAgreement.1.ServicesPartiesagreetoco-operateasfollows:1.1RWHKshallexclusivelycollaboratewiththeclientstoachievesuccessfulconclusionofthetransactions(eacha“Transaction”)withtheprospect(“Prospect”)aslistedinSchedule1.RWHKwil
3、lusehighestprofessionalskill,duecareanddiligenceandtimeshallbeoftheessence.IfRWHKknowsofanymatterwhichmaychangeordelayperformance,itshalladviseclientsimmediatelyinwriting.1.2RWHKshallobtainallnecessarydocumentationandinformationrelatingtoeachprospectandTransaction,tofacilitatesuccessful
4、completionofeachTransaction.RWHKshallusebesteffortstoensurethecompletionoftheTransactions,includingarrangingmeetingswiththerequiredpartiesasrequired.1.3ProposethestrategyforcompletingeachTransactionwiththeintenttomaximizethebenefitsfortheParties.1.4Updateeachotheronaregularbasisonthesta
5、tusofeachTransaction.2.FeesandPayment2.1InconsiderationofthesatisfactoryprovisionofservicesbyRWHKandsubjecttothesuccessfulcompletionofanyTransaction,thePartiesshallsharethefeesforthatTransactionassetoutinSchedule1.3.TermofAgreementandNon-CompetitionThetermofthisAgreementshallbeforaperio
6、dofone(1)yearfromtheAGREEMENTDATE.PartiesmayalsoterminatethisAgreementbymutualagreement.RWHKmayterminatethisAgreementonone(1)month’spriorwrittennoticetoclientsorforanyotherreasonsetoutherein.4.Confidentiality.EachPartyshallkeepanyconfidentialorproprietaryinformationoftheotherpartythatit
7、receives,andthetermsofthisAgreement,strictlyconfidentialexceptthatRWHKmaydisclosetoitsprofessionaladvisers,insurers,bankers,financialadvisersandfinanciersortoanyofitsemployeestowhomitisnecessarytodisclosetheinformation,providedthatthosepersonsundertaketokeepinformationdisclosed
