3、nstheUnitedStates.Inordertocreatetheglobalhealthyandfaircompetition,theUnitedStatesalsoactivelypromotetheFCPAinapplicationoftheglobalareas.Becauseofoverseasbriberyhavetransnationalnatureandtrans-regionalnature,relysolelyonUnitedStatesunilateralattack,itisdifficulttocurbthegrowingtrend.Inthe
4、judicialpracticeofUnitedStatespunishforeigncommercialbriberyindomesticcompanies,thehostcountrycitizensorlegalpersonsforbriberyrarelysubjecttocriminalpunishment.Therefore,relysolelyonUnitedStatesunilateralcontrolofoverseasbribery,sanctionsdomesticenterprisesorforeignenterprisesthatbriberytod
5、omesticenterprises,itisnotonlyconducivetoprotectUnitedStatesbusinesses,butalsoweakenedthejudicialeffectofforeigncommercialbribery.Forthisreason,in1988,theUnitedStatesCongressactivelyseekcollaborationwiththeOECD,topromoteUnitedStatesmajortradingpartnerstoimplementthesimilarMFCPAn.Afteralonge
6、fforts,theUnitedStatesandOECDjointlysignedTheinternationalconventiononcommercialtradingactivitiesagainstbribingforeignofficials,activelyadvancetheprocessofglobalagainstforeigncommercialbribery.So,thispaperwillintroducetheformulatingbackgroundofAmericanForeignCoiruptPracticesAct,analyzetheim
