1、THECONSULTANCYCONTRACTUALAGREEMENTBETWEENCWIUSAANDTIANJIGROUP&MWGLOBALPteLtdThisConsultancyAgreementismadeandenteredintothis28September，2015(the“EffectiveDate”）byandbetweenCWIUSAIncwithitsprincipalplaceofbusinesslocatedat15334FosterSpringsLane,HoustonTX77095,USA(the"Consultant")and[TIANJIGROUP/MW

2、GLOBALPteLtdwithitsprincipalplaceofbusinesslocatedat[6，SinMingRoad01-09SinMingPlazaTowerIISingapore575585(the"Companies")(hereinafterreferredtoindividuallyasa"Party"andcollectivelyas"theParties”).WHEREAS,theCompanyisinthebusinessofInvestinginNigeriaforthefollowing:ProjectsonInfrastructure1.Teleco

3、mmunicationswithZTE2.SocialHousing3.RiverDredging4.PowerSupplyProjectsonFood5.Agricultureandfoodprocessing6.FarmingProjectsofLeisureandEntertainment7.NewNigerianAirlines8.DynastyIntegratedresortsWHEREAS,theConsultanthasexpertiseintheareaofTechnicalCapability，ContactwithAfricansGovernmentandPrivat

4、eSectorsetc;WHEREAS,theCompanydesirestoengagetheConsultanttoprovidecertainservicesintheareaofConsultant'sexpertiseandtheConsultantiswillingtoprovidesuchservicestotheCompany;NOW,THEREFORE,thePartiesherebyagreeasfollows:ARTICLE1:ENGAGEMENTANDSERVICES(a)Engagement:TheCompanyherebyengagestheConsultan

5、ttoprovideandperformtheservicessetforthabove(the“Services”)，andtheConsultantherebyacceptstheengagement.(b)StandardofServices:AllServicestobeprovidedbyConsultantshallbeperformedwithpromptnessanddiligenceinaworkmanlikemannerandatalevelofproficiencytobeexpectedofaconsultantwiththebackgroundandexperi

6、ence9thatConsultanthasrepresentedithas.TheCompanyshallprovidesuchaccesstoitsinformation,propertyandpersonnelasmaybereasonablyrequiredinordertopermittheConsultanttoperformtheServices.(c)Tools,InstrumentsandEquipment:CompanyshallprovideConsultant'sowntools,instrumentsandequipmentandplaceofperformin

7、gtheServices，unlessotherwiseagreedbetweentheParties.(d)RepresentationandWarranty:ConsultantrepresentsandwarrantstotheCompanythatitisundercontractualorobligationswhichareconsistentwiththeexecutionofthisAgreementorwhichw
