3、ionshallbedeemedtoinclude,withoutlimitation,currentandpastclinicaltrialinformation,anypatentapplicationordrawing,anypendingorpotentialpatentclaimthesubjectmatterofwhichisdirectlyorindirectlyderivedfrominformationdisclosedbyXXXorXXXCo.Limited.,anycurrentorpasttradesecret,information,i
4、nvention,idea,assayorassaycomponents,proceduresandformulationsforproducinganysuchassaycomponent,mediaand/orcellline,vector,compounds,anycurrentorpastprocess,formula,testdata,ordatamanagementsystemrelatingtoanyresearchproject,workinprocess,futuredevelopment,anycurrentorpastengineering
5、,manufacturing,regulatory,marketing,servicing,financing,orpersonnelmatterrelatingtoXXX’scurrentproducts,itspresentorfuture,currentproducts,sales,suppliers,clients,customers,employees,investors,orbusiness,whetherinoral,inwritten,graphicorelectronicform.2.Theterm"ProprietaryInformation
6、"shallnotbedeemedtoincludeinformationwhicheitherPartycandemonstratebycompetentwrittenproof:(a)isnow,orhereafterbecomes,throughnoactorfailuretoactonthepartoftheReceivingParty,generallyknownoravailable;(b)isknownbytheReceivingPartyatthetimeofreceivingsuchinformation,asevidencedbyitsrec
7、ords;(c)ishereafterfurnishedtotheReceivingPartybyathirdparty,asamatterofrightwithoutrestrictionondisclosure;or(d)isthesubjectofawrittenpermissiontodiscloseprovidedbyXXXorisbasedoninformationanddevelopmentcreatedbytheotherparty.3.EitherPartyshallmaintainallProprietaryInformationintrus
