2、ivesoftheproposalDifferencesincontractlawbetweenMemberStateshindertradersandconsumerswhowanttoengageincross-bordertradewithintheinternalmarket.Theobstacleswhichstemfromthesedifferencesdissuadetraders,smallandmedium-sizedenterprises(SME)inparticular,froment

3、eringcrossbordertradeorexpandingtonewMemberStates'markets.ConsumersarehinderedfromaccessingproductsofferedbytradersinotherMemberStates.Currently,onlyoneintenofUniontraders,involvedinthesaleofgoods,exportswithintheUnionandthemajorityofthosewhodoonlyexportto

4、asmallnumberofMemberStates.Contractlawrelatedbarriersareoneofthemajorfactorscontributingtothissituation.1Surveysshowthatoutoftherangeofobstaclestocross-bordertradeincludingtaxregulations,administrativerequirements,difficultiesindelivery,languageandculture,

5、tradersrankedcontract-law-relatedobstaclesamongthetopbarrierstocross-bordertrade.Theneedfortraderstoadapttothedifferentnationalcontractlawsthatmayapplyincross-borderdealingsmakescross-bordertrademorecomplexandcostlycomparedtodomestictrade,bothforbusiness-t

6、o-consumerandforbusiness-to-businesstransactions.Additionaltransactioncostscomparedtodomestictradeusuallyoccurfortradersincross-bordersituations.Theyincludethedifficultyinfindingoutabouttheprovisionsofanapplicableforeigncontractlaw,obtaininglegaladvice,neg

7、otiatingtheapplicablelawinbusiness-to-businesstransactionsandadaptingcontractstotherequirementsoftheconsumer'slawinbusiness-to-consumertransactions.Incross-bordertransactionsbetweenabusinessandaconsumer,contractlawrelatedtransactioncostsandlegalobstaclesst
