1、CompaniesLawArticle1Applyingthislaw,eachofthefollowingtermsshallhavethemeaningassignedtheretohereunder:State:unitedArabEmiratesMinistry:TheMinistryofEconomyandCommerce.Minister:TheMisterofEconomyandCommerce.Authority:LocalconcernedauthorityintherelevantEmirate.Agent:Naturalpersonhol

2、dingtheStatenationalityofprivateartificialpersonincorporatedwithinthestatetotallyownedbynaturalnationals.Article2TheprovisionsofthislawshallapplytocommercialcorporationsestablishedinorthathavetheirHeadofficesinsidetheState.Theprovisionsofthislawshallnotapplytothecompanieswhichareinc

3、orporatedinthefreezonesofthestate,concerningthematterswhichhavebeenmentionedintherulesoftheconcernedfreezonesexcludingacquiringthenationalityofthestate.Withtheexclusionofholdingthenationalityofthestate,theprovisionsofthislawshallnotapplytotheoilcompaniesoperatinginthefieldofdrilling

4、,excavation,marketingandtransport,tothecompaniesoperatinginthefieldofproducingelectricity,gasandwaterdesalinationandtherelativeactivitiessuchastransportanddistribution,etc,nortothecompaniesonwhicharesolutionhasbeenissuedbythecabinetforexcludingthem;allthatisrelatedtoallissuesonwhich

5、aspecialprovisionhasbeenmentionedintheircontractsofassociationandtheirArticlesofassociation.Article3EachcompanyincorporatedintheStateshallholditsnationalitybutitshallnotnecessarilybeentitledtoprivilegesreservedonlytoU.A.Enationals.Article4Acompanyisacontractunderwhichtwoormoreperson

6、sarecommittedtoparticipateinprofit-makingeconomicventureeitherwithfundsoreffortsandtodividebetweenthemprofitorlossarisingfromsuchventure.Forthepurposesoftheprecedingsub-clause,aneconomicventureshallincludeeachandeverycommercial,finance,industrial,agricultural,realestateorothereconom

7、icactivities.Article5AcompanyestablishedintheU.A.Eshalladopteitherorofthefollowingtypes:GeneralPartnership.Commandite.Joint-Venture.PublicJoint-stock.PrivateJoint-stock.LimitedLiabilitycompanies.CommanditeLimitedbyshares.Article6ACompanythatdoesnotassumeanyofthetypesreferredtointhep
