2、GthatthedevelopmentofinternationaltradeonthebasisofequalityandmutualbenefitisanimportantelementinpromotingfriendlyrelationsamongStates,   BEINGOFTHEOPINIONthattheadoptionofuniformruleswhichgoverncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,economicandlega

3、lsystemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofinternationaltrade,   HAVEAGREEDasfollows:    PRATISPHEREOFAPPLICATIONANDGENERALPROVISIONS        ChapterISPHEREOFAPPLICATIONArticle1    (1) ThisConventionappliestocontractsofsaleofgoodsbetw

4、eenpartieswhoseplacesofbusinessareindifferentStates:    (a) whentheStatesareContractingStates;or    (b) whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.    (2) ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwhenevert

5、hisfactdoesnotappeareitherfromthecontractorfromanydealingsbetween,orfrominformationdisclosedby,thepartiesatanytimebeforeorattheconclusionofthecontract.    (3) Neitherthenationalityofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeter

6、miningtheapplicationofthisConvention.Article2   ThisConventiondoesnotapplytosales:    (a) ofgoodsboughtforpersonal,familyorhouseholduse,unlesstheseller,atanytimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysuchuse;    (b) by48auction;
