1、华中科技大学硕士学位论文摘要(理论探讨的意义在于总结实践经验，提高认识水平，减少工作阻力，调整前进方向。本文是笔者多年来关注国企改革理论发展、从事国企改革和建立现代企业制度等工作的总结，也是对国企改革和建立现代企业制度不断追寻、不断思考、不断探索的结果。事实上，经济的活力从宏观上讲来源于合理的经济成分结构的活力，从微观上看来源于规范的公司治理结构的建立。20多年的改革实践证明，哪里合理调整了所有制结构，哪里的所有制结构比较合理，哪里的所有制形式适当且制度规范，哪里的经济发展就快，政府负担就轻，社会局面就平稳安定。哪个企业的治理结构规范，哪个企业就有好的发展局面。所以，)本文从国有企业改

2、革谈到建立现代企业制度，首先回顾了国有企业改革的发展史，分析了国有企业改革取得的成就、存在的问题和现状，介绍了武汉市中小型国有企业改制的基本政策和操作办法，提出了根据国有企业性质不同采取不同的改革方法的观点。最后，通过对国有企业改革的研究，文章将重点放在了如何建立并执行规范的现代企业制度上，一方面提出要明晰法人，解决“老板缺位”的问题，另一方面对建立独立董事制度和激励机制进行较为系统的阐述。。这个课题其实很大，各方面的争议很多，我提出的只是个人的一点拙见，不太成熟，但却是我的真实感受，权当共勉吧。．＼萨关键词：国企改革现代企业制度独立董事制度华中科技大学硕士学位论文AbstractTh
