1、摘要我国上市公司资产篮组经过近10多年的发展取得了一定规模.它通过资源优化配宜，控制权市场的形成来实现经济结构的调整和产业升级，对改警上市公司治理结构有一定意义。但我's上市公司资产重组效果并不理想，资产重组还存在一些问a，己严重制约着重组的进一步发展。特别是当前我11D正面临着推进国有经济战略性重组和应对加入WTO后新的竟争格局，企业通过内部重组整合，优化产业结构，提高综合竞争力，是国内企业生存发展的关键。因此要求上市公司必须解决在资产重组中存在的问题，提高其竞争能力，针对这种情况，本文从行为与效果的关联性角度，对上市公司资产重组行为不规范问题进行分析。首

2、先对国内外资产重组行为规范的研究状况进行详细的分析和比较，主要从上市公司自身存在的问题以及相关证券市场的市场环境、法律环境、投资者行为特性等方面分析上市公司资产重组行为不规范的原因，在借鉴国外并购业务比较成熟经验和作法的基础上，找出解决上市公司资产重组行为不规范问题的对策，分别从上市公司治理结构的完警、证券市场退出粼度的真正实施、加强上市公司信息披搏机制以及加大对资产重组违规行为的惩罚力度等方面规范上市公司资产重组行为，使其规reI有序地发展。关键词上市公司:资产重组:行为规范AbstractIthasbeenachievedacertainscalefor
