2、司对经理人员的激励约束机制相对有效，对家族上市公司而言，家族和经理人共同分割企业控制权的“折中治理”是较为普遍的演化模式。外部控制权市场虽然近年来获得了一定的发展，但依然严重滞后，存在的主要问题是：国有股和法人股的不流通阻碍了公司控制权市场的真正形成。外部控制权市场对民营上市公司的治理机制初步产生了约束作用。民营上市公司治理结构上的根本冲突在于大股东与中小股东之间的代理冲突，而非管理者与大股东之间的代理问题。关键词：民营上市公司；公司治理；股权结构；小股东权益保护中图分类号：F276．54AbstractThroughsys
