1、PlatformProjectManagement,LLCINDEPENDENTINSTALLATIONSUBCONTRACTORAGREEMENTPlatformProjectManagement,LLC(hereinafter,"Contractor")and_____________________________(hereinafter,"IndependentInstallationSubcontractor,"or"IIS")enterintothefollowingagreement(“theAgreement”)wherebyIISagreestoprovid
2、efloorcoveringinstallationservicesonjobsdesignatedbyContractor'sworkorders,subjecttothesegeneraltermsandconditions:1.Terms.AllworkordersissuedbyContractorshallbedeemedtoincorporatethesegeneraltermsandconditionsalongwithadditionalspecificreferencestojobrequirementswhichtogethershallconstitut
3、easubcontractforeachjoborproject.Further,IISagreesthatalltermsandconditionsofanycontractbetweenContractorandanyhigher-tiercontractororownershallbeincorporatedhereinbythisreferenceandmadeapartofthisAgreementandIISfurtheragreesthatIIShasbeenofferedtheopportunitytoreviewsaidtermsandconditions.
4、ThisAgreementandalloftheagreementssetforthinthisSectionlshallhereinafterbereferredtoasthe“ContractDocuments”.2.SubcontractorStatus.IIScertifiesthatitisanindependentcontractorand,asanindependentemployingunit,shallcomplywithallfederal,stateandlocaltaxlaws,SocialSecurityacts,unemploymentcompen
5、sationacts,workmen'scompensationacts,oldageretirementbenefit,pensionsandannuities,andacceptfullandexclusiveliabilitythereforeinsofarasapplicabletotheperformanceofthisSubcontract.IISrepresentsandwarrantsthatitisfullyandproperlylicensedbyallapplicablejurisdictionsandwillmaintainallofsaidlicen
6、sesatalltimes.3.ScopeofWork.ContractorreliesonthepersonalservicesofIISintheperformanceandcompletionoffloorcoveringinstallationworkandnosubstituteindependentinstallationsubcontractorshallbepermittedtoperformandcompletetheworknoristhisAgreementoranySubcontractassignablewithoutContractor’sprio
7、rwrittenpermission.ExceptformaterialsprovidedbyContractor,IISagreestoprovidealllabor,material,equipmentandservicesnecessarytocompletetheworkinagoodandworkmanlikemannerandinstrictconformancewithallapplicableplans,specifications,industrystandards,manufactu
