3、esultsoftheinvestigationsasfollowsforyourreference.I.AboutthesigningoflaborcontractfortherecruitmentofnewemployeesbytheoldcompanyAstotheissuethattheemployeesemployedbyAAAAACompany(hereinafterreferredtoasthe“oldcompany”)nextyearwillstillsignlaborcontractwit
4、htheoldcompany,wethinkthatasbeforethecompletionofthemerging,thetwocompaniesarestillindependentlegalpersonsandarebothentitledtosignlaborcontractswiththeiremployeesonthebasisofreachingconsensus.Ifthecompanyneedstorecruitnewemployeesorrenewlaborcontracts,theo
5、ldcompanymaysignlaborcontractswithemployees,andafterthecompletionofthemerging,thenewcompanywillcontinuetoexecutethelaborcontracts,andthenewcompanydoesnothavetorenewlaborcontractswiththeemployees.Theaboveoperationisfeasibleintheory.However,whatshouldbenoted
6、isthataccordingtotherelatedmergingschemeprovidedtoyourcompanyinthelastinvestigation,yourcompanyplanstotransfertheassetstothenewcompanyandletitcarryoutproductionandoperationbytheendof2008.Therefore,quiteanumberofworkingpostswillnotbeprovidedbytheoldcompanyb
7、uttheoldcompanywilldispatchemployeestoworkinthenewcompany.Inconsiderationoftheaboveconditions,ifnewemployeesareemployednextyearandtheoldcompanysignslaborcontractswiththenewemployees,itissuggestedthatspecialstipulationsshouldbemadeonemployees’workingpostint
8、helaborcontractstobesigned.Forexample,theemployees’postswillbedeterminedaccordingtothecontentsoftheserviceagreementsortemporarytransferagreementssignedbyandbetweenthenewcompanyandtheoldcompany,andtheemployees
