1、摘要摘要在我国，私募证券基金和风险投资基金经过了多年的发展，取得了不俗的成绩，也得到了国家有关部门的关注。但是同时因其法律地位的缺位和对其监管措施的不到位，使得“私募基金”快速发展的同时也带来了与之相伴的各种风险。我国立法上对“私募基金”基本上处于空白，“私募基金”处于事实和规范之间。由于我国目前从严格意义上说还没有真正的“私募基金”，所以针对我国来说对什么是“私募基金”，它的特征以及“私募基金”是怎么运作的？我国“私募基金”的形式和特点又是什么？“私募基金”的存在与发展会对我国的经济的运行带来
2、哪些影响？国外成熟的资本市场对“私募基金”是怎么监管的及其法律地位如何？我国应当怎样对待“私募基金”（政府的监管理由是什么）？等等这些问题应有一个明确的答案。本文通过对国内外私募基金的比较研究和运用经济学以及制度学的理论，对私募基金具体的运作方式及其特点进行分析，通过对国外私募基金法律制度进行比较与借鉴，我国对私募集基金的法律规制应当在采用信托原理的基础上，从规范私募基金设立制度，严格发起人与管理人条件，规范私募基金组织形式，完善私募基金私募方式的确定制度，规范私募基金流动，加强我国私募基金监管
