1、山东大学硕士学位论文法理学基础——公平与效率法律价值的体现；其二，经济法基础——平衡协调原则；其三——企业社会责任理论。第三部分是利益相关者参与公司治理在国外的立法与实践。主要介绍了德国、日本、韩国、美国以及经合组织对利益相关者参与公司治理的立法与实践状况。第四部分是中国利益相关者参与公司治理概况及其完善。首先论述了中国公司治理中存在的问题，并对世界上主要公司治理模式进行了比较，提出了中国公司治理的模式选择——构建利益相关者参与的共同治理模式。在对中国利益相关者参与公司治理的立法现状进行分析的基础上，结合2005年新

4、，andinfringementofthelegalfights．Thesesocialissueshavebeguntomakesocialresponsibilityofcorporationbywidespreadconcern．Asthefocusofvariousinterestsbodies，thecorporationshallpursuetomaximizeitsshareholders’interestswhiletakecareofstakholders．Onlyinthiscasecouldth

5、ecorporationaccelerateitsachievementanddobetterintheestablishmentofharmonioussocietyandsustainabledevelopment．OneoftheoutstandingpointsintherevisedCompaniesLawofChinaistheregulationofSocialResponsibilityofCorporationintheGeneralProvisions．Withthedevelopmentofth
