1、为应从我国民法上的诚实信用原则、禁止权利滥用原则和权责统一原则进行说明，控制股东行使控制权时诚信义务的内容、违反及救济也应区分具体行为而不同，应当慎用控制股东的注意义务；而程序法上主要是分析两种股东诉讼制度，建议扩大对控制股东滥权的直接诉讼，同时建议在诉讼法中引入集团诉讼制度，为中小股东提供可选择的顺畅的法律救济渠道。最后笔者提出要构建控制股东滥权行为的责任体系，要强化控制股东的民事责任，完善和建立虚假陈述、内幕交易、操纵市场的民事赔偿，完善救济机制，强化行政责任和监管的有效性，加强控制股东滥权的刑事规制，促进刑法最新修正案的实施，提高控制股东的违规成本。最后完善社会监督机

5、ystemsandpractices，butduetoimperfectlegislationandtheresponsibilitysystem,theproblemofcontrollingshareholderabusecontrollingpowerisstillveryprominentinlistedcompanies.ToperfectthelegalregulationsofcontrollingshareholdersabusingcontrolpowerisoneofthecoreissuesonpromotingChina'sfurtherstate-
