2、ience.Thus,theseenterprisescanexpandthescaleandenhancetheinternationalcompetitivenessinashorttime.ReviewingtheprocessofChineseenterprises’overseasM&Ainthepastdecade,thedealofresourcesandenergyindustryisstilldominantinoverseasmergersandacquisitions.AndnearlyhalfoftheoverseasM&Aactiv
3、itiesprimarilyaimtomeetthedomesticcontinuouslygrowingdemandforenergyandnaturalresources,andthentodevelopnewoverseasmarkets,accesstechnologyandseekpotentialcapitalgains.Intheeraoftheresourceisking,Resource-basedoverseasM&AisdifferentfromthegeneralM&Anotonlybecauseresourceisregionala
4、ndnonrenewablebutalsobecauseresourceisofteninvolvedinsovereignissue,especiallyinthecurrentresourceslackingsociety.Andresource-basedoverseasM&Aissensitiveforacounty.Evennormalenterprisebehaviorsofmergerandacquisitionarerisenuptothescopeofnationalenergyandresourcessecurity.Atthemeant
5、ime,complexenvironment,overelaboratedprocedures,largeinvestmentandlongpay-backperiodandothercharactersexistinthemarket.ThusthosefactorsdeterminethatoverseasmergersandacquisitionsinChinaisengagedingreatexist.Soifresource-basedenterprisesinChinawanttosucceedinthefutureoverseasM&Aproj
6、ects,theymustaccuratelyrecognizetherisksinoverseasM&A,andtakecorrespondingmeasurestoprevent.Onthebasisofresearchbackgroundandresearchsignificance,thispaperusesthemethodofcombiningtheorywithexamples,toelaboratetheoverseasM&Atheoryandtosumupthecurrentstatusofresource-basedenterprises
