1、摘要关联交易有利于企业内部集团充分利用自身资源，降低交易成本，提高公司营运效率，达到规模效益。但同时，关联方控制股东在公司决策、定价等方面具有绝对的优势，如果监管不到位很可能导致这些控制股东会做出侵害公司、债权人、小股东利益的决定。公司法对关联交易的规制多借鉴的是上市公司规范、证券法等法律法规，并没有形成自有的体系而且其中的一些制度尚不够完善，设定的许多制度只能适用于上市公司，对于非上市公司关联交易的规制不足，与证券法、会计准则等相关法律存在冲突。因此，本文将在第一部分对关联交易的概念特征危害进行介绍，并对当前我国关联交易中小股

2、东利益侵害的现状进行概述。第二部分则重点介绍我国关联交易侵害小股东利益的主要类型。第三部分，介绍了国外对于关联交易的法律规制及对小股东利益保护的规范。在第四部分，概述了我国关于关联交易中小股东利益保护的规定并对这些规定制度中存在的不足和缺陷进行分析。第五部分，提出在公司法上建立系统的、完善的、扩展到非上市公司的规制关联交易行为保护小股东利益制度的基础上，统一协调相关的法律规定的关联交易中小股东利益保护的完整体系。关键词：关联交易；小股东；利益保护IIAbstractThusmanyaffiliatesemerged,andaff
