1、管理层股权激励公司中盈余管理管理层股权激励公司中的盈余管理摘要国内在研究盈余管理动机时,大部分都以资本市场为中心,从而衍生出相关的动机研究。很少从报酬契约动机角度去研究,而关于管理层股权激励与盈余管理的文献就更少了。基于此,本文就对《上市公司股权激励管理办法》施行后,以实施管理层股权激励公司的盈余管理为研究对象,考察我国是否存在管理层为将来达到顺利行权条件而进行盈余管理的行为,以及董事会在其中对盈余管理行为的制约和监督效果。本文在相关理论和文献的基础上,先从逻辑上进行分析并提出假设,再从实证方面进行证明。研究发现,在管理层股权激励方案中
2、的基准年度,公司的主观应计额显著低于匹配样本,且均值为负,盈余管理的程度与管理层股权激励程度显著相关,董事会会议次数与盈余管理程度显著正相关,董事会人数规模与盈余管理程度显著负相关,得出以下四个结论:1.实施管理层股权激励的公司,管理层为将来达到顺利行权的目的而下调基准年度盈余;2.管理层股权激励程度越大,盈余管理程度越大;3.董事会的会议次数越多,抑制盈余管理程度增强;4.董事会规模的增大,抑制盈余管理作用减弱。基于此,希望本文为人们对管理层股权激励机制的制定、相关信息的披露以及与董事会制度的健全提供一些线索。【关键词】管理层,股权激
